If I cannot attend the AGM, can I still vote?
If you cannot attend the meeting yourself, you can appoint either the Chair or someone else to go in your place as your ‘proxy’. To do this, you must complete the proxy card that is sent to you with the notice of meeting and send it back to the company’s Registrar in advance of the AGM. You can also, if you wish, appoint more than one proxy provided that each proxy is appointed to exercise the rights attached to a different share(s) held by you. If a poll is taken on a resolution, your proxy can cast your vote for you and speak on your behalf. If you cannot appoint a proxy to attend the meeting in person, you can still send the proxy form back to us and in the event of a poll on any resolution the Chair will cast your vote for you in line with the instructions you give on the form. What has happened to UBM shares?
Informa acquired UBM in 2018 and UBM shares delisted from the London Stock Exchange on 15 June 2018.
UBM shareholders received New Informa shares as well as a cash consideration in return for their holdings in UBM plc. This totalled 1.083 New Informa Shares and 163 pence in cash for each UBM share, although shareholders were able to elect to vary the proportion of cash and shares received, subject to what other shareholders chose to do. These New Informa shares began trading on the London Stock Exchange on 18 June 2018.
Former UBM shareholders were contacted by Informa’s registrar, Computershare, with confirmation of their new holdings in Informa shares and cash consideration payment, and a new share certificate.

I have recently changed my name, what do I do?

Write to the Company’s Registrar giving full details of your old name; your new name; a certified true copy of any legal documentation, such as marriage certificate or deed poll. Copies of any supporting documentation must also be sent to the Registrar. All correspondence must be signed. What am I entitled to as a registered shareholder?
As a shareholder in Informa you are entitled to dividends, to attend and vote at the AGM and to receive financial information on the company, including the annual report.

I have lost my share certificate. How do I get a new one?
You will need to advise the Company’s Registrar in writing which share certificate is lost and you will be sent a Letter of Indemnity for completion. You should sign and return this to the Registrar to enable a duplicate share certificate to be issued. What does ‘ex-dividend’ mean?
This is a description that is quoted next to a share price. It translates as ‘without dividend’ and means that the next dividend payment is not included in the price of the share. This is necessary because the dividend is paid to all shareholders who were on the register at close of trading on a specified date. Any shareholder buying shares who is registered after this day will not receive the dividend. To compensate for this, the market price usually drops by the amount of the dividend payment and to the description ‘xd’ is added to share price quotations to confirm that this has happened. To avoid confusion around this time, prices are sometimes quoted ‘cum dividend’ (meaning ‘with dividend’) which means that the buyer will be entitled to the next dividend payment and the share price has not been adjusted.
When will I receive tax information about my dividend payment?
Answer
Dividend Tax Credits have been abolished for payments made after the 2015/16 tax year. Instead individuals have a tax free allowance of £5,000 per tax year in respect of their collective dividend income. Above this amount, individuals will be liable for tax at a variable tax rate depending on their circumstances. For the 2016/17 tax year onwards, Informa’s Registrars will send shareholders a ‘Dividend Confirmation’ on an annual basis (after the payment of the September dividend) instead of a ‘Dividend Tax Voucher’. The ‘Dividend Confirmation’ will include details of all dividends paid by the Company during the year. You should keep this document as the Inland Revenue may ask you for the information.
Can my dividend be reinvested and used to purchase more shares?
You can elect to join the Dividend Reinvestment Plan (“DRIP”) whereby your cash dividend is used to purchase further shares in the Company, thus increasing your shareholding. My dividend cheque is out of date, can I have it reissued?

I have not received my dividend monies/cheque, whom do I contact?

I live abroad – can I receive dividends in my local currency?
Yes the Registrar’s Overseas Payment Service enables you to receive your dividend directly into your bank account in your local currency. Please note that the Registrar will deduct a payment charge from each dividend payment before converting it into your chosen currency. Your tax voucher will be despatched in the usual manner. This is a service that can be arranged in over 30 countries worldwide and it normally costs less than paying in a UK cheque. The dividend will be credited to your account automatically – normally just a few days after the company’s dividend payment date. For further information on this service, or to sign up for this service, please visit https://www.shareview.co.uk, click on ‘Shareholder Centre’ and then ‘Overseas Payment Service’ from the left hand menu. At the foot of this page click on ‘Countries and forms’ then choose your country of residence to download an application form and terms and conditions. Should you wish to sign up for this service, after reading the terms and conditions, please complete and return it to the relevant address.
Can I receive shareholder communications electronically?
Yes. To receive shareholder communications via email, register online at www-uk.computershare.com. You will need your Shareholder Reference Number, which is quoted on your share certificate. By giving your email in this way, your address will only be used by the Company’s Registrar Computershare for communications relating to Informa PLC. To change your preferences or update your email details, see the options on the Computershare website or write to Computershare at Computershare Investor Services PLC, The Pavilions, Bridgwater Road, Bristol, BS99 6ZZ.
What happens if the Registrar cannot contact me by email?
You should make sure that your email address on your Investor Centre account is up to date. If the Registrar is unable to send your shareholder communications because the address you have given is not registered, they will send a paper copy of the email by post within 48 hours.
